Ownership:All intellectual property rights, including copyrights, trademarks, and trade secrets, associated with our Services, including any designs, code, or other deliverables, shall remain the property of Ways Software Technologies LLP unless otherwise agreed upon in writing.
Client Content:You represent and warrant that you own or have the necessary rights and permissions to use any content provided to us for the project. You grant us a non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the project.
Fees:The fees for our Services will be outlined in the project proposal or agreement. Payment terms and methods will also be specified therein.
Invoicing:We will provide you with an invoice for the agreed-upon fees. Payment is due within the specified timeframe unless otherwise agreed upon in writing.
Late Payment:In the event of late payment, we may suspend the project until payment is received in full. Any expenses incurred due to late payments will be the client's responsibility.
Both parties agree to treat any non-public information disclosed during the course of the project as confidential and not to disclose, reproduce, or use such information for any purpose other than the project unless required by law.
Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of our Services or any issues related to the project, including but not limited to delays, errors, or disruptions.
Indemnification:You agree to indemnify and hold us harmless from any claims, damages, liabilities, costs, or expenses arising from your use of our Services or any breach of these Terms.
Termination:Either party may terminate the agreement for Services if the other party fails to perform its obligations or breaches these Terms. Termination shall not relieve the client of its obligation to pay for any services rendered or expenses incurred before termination.
